Shadi appears to be a somewhat tall Egyptian man with an average level of ethnic tanning. He has a white linen turban wrapped around the top of his head, but if it were to be removed he is fully bald. He has a very stoic and serious expression, and is almost never seen to smile. On the odd chance he does, it is rather cold and doesn't seem to reach his eyes.
He has soulless blue eyes that completely lack in shine, creating an eerie effect a lot of people have trouble putting their hands on. He has harsh eyebrows, and his eyes are accentuated by the black markings around them, a common practice of people in his time.
His outfit is very simple, consisting of only a few simple pieces. His main piece is a tan linen robe. It has wide sleeves and a wide bottom. Some more ignorant modern people may accuse him of wearing a dress. he has a white linen cloak piece of the same fabric as his turban. It wraps several times over his shoulder to be secure and hangs down to about his ankles. For shoes, he has tan linen moccasins of the sort commonly seen worn by his the Ancient Egyptians.
Hanging from both of his ears are large and thick gold hoops. They hang from a sturdy gold stud just above them.

Shadi doesn't carry a single weapon, nor would he have the need to.
Abilities/Powers
Existing at all qualifies as one, as Shadi is no longer human. He died about 3,000 years ago in a mostly forgotten dynasty of the New Kingdom of Ancient Egypt. Beyond the mere fact that he is a ghost, he has other powers. He seems to be able to be anywhere he wishes to at an instant to observers, but it is in fact a case of being tied to the presence of the Millennium Items. He can only manifest in a limited area where at least one (not in his possession) is present.
He can step through walls and is only tangible when he makes specific effort to be so. If you tried to punch him your hand would pass through him, but he would be able to catch you if you were to fall. Even more, he is able to be present without being visible, and can choose specific people to allow to see him.
Shadi has also shown the ability to literally empathize with other spirits, although it is quite probable he can only do so with ones from his homeland. It is a strong enough phenomenon that he will actually show the emotions of the spirits despite himself, such as shedding the tears a spirit is incapable of shedding.
He is recognized as a rightful user of at least two Millennium Items, although his brief time spent fully away from the world has removed him as the true owner of any. Originally he was the true owner of the Millennium Key and spent quite some time in possession of the Millennium Scales.
Skills
Shadi is quite the chessmaster. He is able to use his abilities to manipulate people from a distance and silently cause things to proceed as they should. This is about the only plain skill of his that is of any use to him since his death. He was once good at things such as politics and advising, quite possibly related to the one skill of his that he still gets use out of.
Personality
Shadi is extremely stoic. It is very hard to tell when he is truly feeling any emotion, and even his voice is an almost monotone most of the time. This relates to his skills as a chessmaster, as you can pretty much never tell what he is really thinking. He knows he is immune to physical attacks and won't even so much as blink if someone tries to attack him.
What most people never see is his extreme devotion to duty. Of the sort that if it became necessary, he would manipulate the death hundreds merely to make things happen as they should. In the past he has been willing (and even expected) to sacrifice the life of a teenage girl named Anzu Mazaki, and even before that told a twisted truth to a literally broken young child to cause him to attack the person he was protecting!
That is not to say Shadi is without emotion. He can and has been shocked and his spirit can be shaken. In theory he could be angered to the point of showing it, but it is very probable he would calm it down quickly. The man has an iron grip on his emotions.
History
Shadi was born as Shada about three thousand years ago in the short and virtually erased from history Dynasty of Ancient Egypt sitting between the 18th and 19th Dynasties. He was born during the rule of Pharaoh Akhenamkhanen. When Akhenamkhanen ingested the poison to take his own life, his priest Shimon felt that it was his duty to advise Akhenamkhanen's young son as Pharaoh. As a result, he passed the Millennium Key onto a priest of Anubis he deemed worthy. It was by this Shada became one of Pharaoh Atem's six Guardians.
As all the Guardians, Shada functioned as an adviser to young Atem. Shada never considered himself a friend to the young Pharaoh, deeming it an unforgivable breach of respect. However, when the unnamed Thief King broke into the throne room and the mess with Zorc began crashing down around the Kingdom, he did his duty. He sacrificed his life to protect Atem from the unnamed Thief King. What is not known to anyone in the modern era, however, was that he left behind a wife and son.
Eventually Atem would realize he would have to sacrifice his life to protect his Kingdom. He left it in the hands of the Guardian he had come to learn was his cousin, the Priest of Set who shared his name with his god. Set took the duty seriously, sending the people that were now his throughout the kingdom and wiping out Atem's name from every location it had ever been displayed in accordance with Atem's final commands. From there, Set went onto actions Atem had not wished.
It came down to ensuring that if the worst happened and some thief managed to get past the traps he was already setting up for Atem's tomb, Zorc would not revive. Among the many actions he took were ensuring that the keys for Atem to regain the knowledge he would need to combat Zorc once more were in place. Among those was approaching Shada's wife and requesting her to keep the memory of the Pharaoh alive in their family line.
She refused him as politely as she could. Set could not convince her otherwise, although he tried rather hard. Shada's ghost visited his son one night and told him to convince his mother to go along with Set. The young teenager was able to do so, and it was even he who volunteered for the ritual that would carve the necessary instructions into his back. It was that which would begin a family tradition that would last for three thousand years. The Millennium Items were given to Shada's son to watch over, with the Rod falling into their possession at Set's death.
When a man named Sugoroku Mutou gained the shattered Millennium "Puzzle" from Atem's tomb, Shada's ghost went into further action. At the prompting of a vision from the Torque, he took most of the Items from his distant descendants, using the Key to rearrange their memories so that they would think they had only ever guarded the Rod and the Torque. From there he approached Sugoroku and confirmed his reason for taking the Puzzle, removing his memories of the encounter. He forced the eye upon a traveler named Pegasus, crushing his existing eye to do so.
From there, he kept an eye on his descendants. Upon seeing the rage the most recent member of his family line that had at one point taken the surname Ishtar, the final pieces fell into place. When the hatred inside Malik Ishtar killed his father, he manipulated the child with a few choice words. It caused Malik to want the Pharaoh dead. Shada acted only a bit more from that point on, first ensuring that a traveling businessman received the Ring and that it would be given to his son, the reincarnation of the Thief King. And finally, he tested the one who had solved the Puzzle. He had expected it to be Sugoroku, but it ended up being his grandson. The Pharaoh's spirit passed his test.
Shada would only show up a few more times from then on. It was always to push things in the direction they should go. He manifested on the Battle Ship to save Honda and Ryuuji as they almost fell off the side of the blimp due to a fight. His actions for this were because he knew the power friendship had on the Puzzle now that the Pharaoh's spirit had proven it to him. Their deaths would have destroyed things. He appeared in the ruins where the Pharaoh's spirit had gone to guide his friends to the "game" so that the Puzzle could express its true power. From there he finally passed on...
...until events dictated his return. The Pharaoh had changed due to his time with his modern friends, and more than he had realized. Given the chance, he had forsaken his duty. His descendant's dark side had returned, and even the gods were now moving in a timeline that should not have been.

Um, almost none of that history is truly canon. This is called fanwanking. I've always seen Shadi as a bit of a chessmaster, and now he is. The combined canon I use is in full force here. Manga, both anime.
Also, while he is Shada's ghost he isn't an exact copy. My best wank for that is his ghost is just his body, as such any markings he put on it (like that tattoo on his forehead) were not reflected in his spirit form.
Romanizations are not changed from official as I was able to find names of applicable origins that match both. Although Shada seems to be feminine..... whatever, right? Also, kinda ignore the whole gold eyes thing in the original anime the way you ignore Kaiba's hair color.
